Welcome to clubhousey! These Terms of Service ("Terms") govern your access to and use of our web application, website, and services (collectively, the "Service"). This is a binding legal agreement between you, the user, and Clubhousey, LLC ("we," "us," or "our").

clubhousey is a web application that allows users to connect to their third-party fantasy football accounts to import, view, and analyze historical league data. You acknowledge that the Service is provided on an "AS IS" and "AS AVAILABLE" basis. We reserve the right to modify, suspend, or discontinue the Service, in whole or in part, at any time with or without notice to you.

2. User Accounts and Responsibilities

To use the Service, you must be at least 13 years old (or 16 if you are in the European Economic Area). If you are under 18, you represent that you have your parent or guardian's permission to use the Service and that they have read and agreed to these Terms on your behalf. You agree to provide accurate and complete information when creating your account. You are solely responsible for maintaining the confidentiality of your account password and for all activities that occur under your account.

We welcome your feedback and suggestions for improvements to the Service ("Feedback"). You grant to us a non-exclusive, worldwide, perpetual, irrevocable, fully-paid, royalty-free license to use and exploit the Feedback for any purpose, without any obligation or compensation to you.

5. Third-Party Services and Data

The Service relies on data imported from third-party fantasy football platforms. You acknowledge and agree that:

• We do not control and are not responsible for the data provided by these third-party services.
• We make no warranty regarding the accuracy, completeness, or availability of such data.
• Access to these third-party services may be interrupted or terminated at any time, which may cause features of our Service to become unavailable. We shall have no liability for any such interruption.

6. Subscriptions and Payments (If Applicable)

• Fees: Should we offer premium plans, you agree to pay all applicable fees. We reserve the right to change prices with reasonable notice.
• Billing and Auto-Renewal: Subscriptions are billed on a recurring basis and will automatically renew unless you cancel prior to the renewal date.
• Refund Policy: All payments are non-refundable.

7. Termination

You may terminate this agreement by deleting your account. We reserve the right to suspend or terminate your access to the Service at our sole discretion, for any reason, without notice, including for any breach of these Terms.

THE SERVICE IS PROVIDED "AS IS," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

IN NO EVENT SHALL Clubhousey, LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING FROM THE USE OF THE SERVICE IS LIMITED TO THE GREATER OF (A) THE TOTAL AMOUNT OF FEES YOU HAVE PAID US IN THE 12 MONTHS PRIOR TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

10. Indemnification

You agree to defend and indemnify Clubhousey, LLC from and against any claims, damages, or expenses (including attorney's fees) arising from your use of the Service or your breach of these Terms.

11. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of California. Any dispute arising from these Terms shall be resolved through binding arbitration in California. This means that you and Clubhousey, LLC are each waiving the right to a trial by jury or to participate in a class action.

YOU AND Clubhousey, LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION (CLASS ACTION WAIVER).

12. General Provisions

Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will provide you with notice, such as by sending an email or by posting a notice on our Service, at least 14 days before the changes become effective. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.

Severability

If any provision of these Terms is held to be unenforceable, the remaining provisions will remain in full force and effect.

Entire Agreement

These Terms and our Privacy Policy constitute the entire agreement between you and us regarding the Service.

We respect the intellectual property rights of others. If you believe that any content on our Service infringes upon your copyright, please send a notice to our designated agent at copyright@clubhousey.com containing the following information:

• Identification of the copyrighted work claimed to have been infringed;

• A statement that the information in the notification is accurate, and, under penalty of perjury, that you are authorized to act on behalf of the copyright owner.

We reserve the right to remove content alleged to be infringing without prior notice.
